    The Opportunity

We are seeking a proactive, business-minded Senior Commercial & Corporate Counsel to join fomo as our #2 attorney. In this role, you will work side-by-side with our General Counsel and executive leadership, taking primary ownership of commercial contracts and serving as a key legal lead on major strategic partnership negotiations.

    Key Responsibilities

    • Commercial Execution: Draft, review, negotiate, and close complex commercial agreements, including strategic partnerships, vendor contracts, enterprise licensing, data/API agreements, and marketing deals.
    • Lead Deal Negotiation: Serve as the primary legal negotiator on high-stakes strategic partnership agreements, aligning legal protection with commercial objectives.
    • Corporate Governance & Strategy: Support the General Counsel on general corporate matters, corporate governance, board preparation, subsidiary management, and potential debt or equity financings.
    • Cross-Functional Advisory: Act as a trusted legal advisor to Marketing, Product, Operations, Business Development, and Finance teams to enable rapid product innovation while mitigating legal risk.
    • Legal Operations & Process: Help build, refine, and scale internal legal workflows, standard contract templates, and negotiation playbooks.

    Qualifications

    • J.D. from an accredited U.S. law school and active bar admission in good standing in New York.
    • 4 to 8 years of relevant legal experience, with strong emphasis on commercial contracts and foundational corporate experience.
    • Prior experience in BigLaw, an in-house legal department at a tech company, or a hybrid of both.
    • Proven track record of leading complex contract negotiations from start to finish with minimal supervision.
    • Strong business acumen, with the ability to balance commercial priorities with legal risk management.
    • Excellent communication and stakeholder management skills.

    Nice-to-Haves

    • Experience in fintech, trading platforms, financial services, or consumer tech platforms.
    • Familiarity or working knowledge of Web3, digital assets, or crypto technologies/regulations (not required, but a plus).

    Compensation

    • Base salary: $225,000 to $275,000
    • Discretionary bonus: 10% to 30% of base salary

    Work Culture & Environment
